Terms of Service

1. Who these terms are between

These Terms of Service ("Terms") are an agreement between Aigenticura Ltd, registered in England & Wales, trading as SubReady ("SubReady", "we", "us"), and the person or business using SubReady ("you").

By accepting these Terms you confirm you have read them in full, you are at least 18 years old, and — where you accept on behalf of a business — you are authorised to bind that business.

If your SubReady account was set up for you by your accountant or bookkeeper under their Practice Plan, these Terms still govern your use of the app. Your accountant pays for your seat; the separate Practice Plan Terms govern their relationship with us.

2. What SubReady is — and what it is not

SubReady is record-keeping software. It captures receipts, bank transactions, invoices, CIS statements, mileage and income, categorises them, and prepares figures and returns for you to review and submit.

SubReady does not provide tax, accounting, financial or legal advice, and using it does not create an accountant–client relationship. Figures, categorisations, tax estimates, reports and AI-generated answers are produced automatically from the information available to us and may be incomplete or wrong. You must check them before you rely on them, and you should take professional advice where your position is not straightforward.

You remain solely responsible for the accuracy and completeness of your records and of anything filed with HMRC in your name, including registering for the right taxes and meeting your own filing and payment deadlines. Where SubReady helps you submit to HMRC, you are the person making the submission; we transmit what you approve.

We are not HMRC and we are not endorsed by HMRC. Where we describe software as recognised for a particular HMRC service, that description applies only to the service and periods stated in the app at the time.

3. Your account and security

You must give accurate registration details and keep them up to date. One account is for one person or business; you must not share your login, PIN or passkey with anyone else, and you are responsible for everything done through your account.

Where you use SubReady over WhatsApp, the mobile number registered to your account is your identity. Tell us immediately if you lose control of that number, your device, or your PIN, and we will help you secure the account.

We may refuse, suspend or close an account where the details given are false, where a number or email belongs to someone else, or where we are required to by law.

4. Free trial

New accounts get a 14-day free trial with full access. No payment details are needed to start it, and nothing is charged automatically when it ends.

When the trial ends, access to the app stops until you subscribe. Your data is not deleted at that moment — see section 10 for exactly how long we keep it.

One trial per person or business. We may withdraw or shorten a trial where it is being used to avoid paying — for example repeated signups for the same business under different numbers or emails.

5. Prices and payment

The Standard plan is £8.99 per month or £89.99 per year. The VAT plan, which adds VAT return preparation, is £12.99 per month or £129.90 per year. Direct submission to HMRC is available only where the app says it is — see section 2. Prices are shown in the app before you pay and are the prices that apply.

Payments are taken by our payment provider, Stripe. Your subscription renews automatically — monthly or annually, matching the plan you chose — until you cancel it. We never see or store your full card details.

If a payment fails we will retry it and tell you. Access may be suspended while an account is unpaid, and is restored as soon as payment succeeds.

You can change plan at any time. Upgrades take effect immediately and are charged pro rata; downgrades take effect at your next renewal.

6. No minimum term — cancel whenever you like

There is no minimum term, no lock-in and no cancellation fee. You can cancel at any time from Settings in the app, or by asking us.

If you pay monthly, cancelling stops the next payment and you keep access until the end of the month you have already paid for. If you pay annually, cancelling stops the next renewal and you keep access until the end of the year you have already paid for. We do not pro-rate refunds for part-periods, and paying annually is a discount you choose, not a commitment we impose.

Nothing in this section affects any statutory cancellation or refund rights you have as a consumer, or your right to a refund where we are at fault.

Before you cancel, export your records — the app can produce a full export at any time, and we would rather you left with your books than without them.

7. Price changes

We may change our prices. If a change affects your plan we will tell you by email or in the app at least 30 days before it takes effect, and the new price applies from your next renewal after that notice.

If you do not want to pay the new price, you can cancel before it takes effect and you will never be charged it.

8. Your data and who controls it

Your records are yours. We claim no ownership of your receipts, transactions, invoices, statements or any other content you put into SubReady, and we do not sell your data or your customers’ data to anyone.

For the records you keep in SubReady, you are the data controller and we act as your data processor: we process that information to run the service for you, on your instructions, and in line with our Privacy Policy. For your own account and billing information — who you are, what you pay, how you use the app — we are the controller.

We use a small number of sub-processors to run the service, including cloud hosting, our payment provider, our email provider, WhatsApp (Meta) for messaging, and AI providers for document reading and the assistant. Documents and messages you send are processed to produce your records; we do not use your records to train third-party AI models.

We apply appropriate security measures, including encryption in transit and at rest, access controls, and masking of personal details in message logs. No system is perfectly secure, but we will tell you without undue delay if a breach affects your data.

You can export your data at any time in the app, and you can ask us to delete it. Some information has to be kept longer than you might expect — see the next section.

9. WhatsApp and AI features

SubReady works over WhatsApp, which is operated by Meta and governed by Meta’s own terms and privacy policy. Messages you send us pass through Meta’s systems, and your mobile network’s standard charges may apply. Please do not send us information you would not want processed for bookkeeping — in particular, do not send other people’s personal details beyond what your records genuinely need.

Receipt reading, categorisation, the assistant and similar features use automated and AI systems. They are helpful but not infallible: they can misread a figure, pick the wrong category or answer a question imprecisely. Always check anything that matters, especially before submitting to HMRC. We are not liable for a loss that a reasonable review of your own records would have caught.

We monitor usage to keep the service running and to control cost, and we may apply fair-use limits to messages, uploads and AI requests. Where limits apply we will tell you rather than silently degrade the service.

10. How long we keep your data

While your subscription is active we keep your records for as long as you keep the account, so your books stay complete across tax years.

If you cancel a paid subscription, we keep your records for 12 months from the end of your paid period. During that window you can sign back in to view and export your data, and reactivating restores full access with your records intact. At the end of the 12 months we delete your records permanently. Twelve months is deliberate: it covers a full tax-year cycle, so if you come back — or HMRC asks a question — the figures are still there.

If you never subscribe — a trial that ends, or a practice pilot that is not taken up — we keep your records for 90 days from the end of the trial or pilot, then delete them permanently.

You can ask us to delete your data sooner and we will, subject to anything we must keep by law. Deletion is permanent and we cannot undo it, so export first.

Two things outlive your account. We keep our own billing and tax records — invoices, payments, what plan you were on — for 6 years, because UK tax and company law requires it. And encrypted backups roll off on their own cycle, within 35 days of deletion, after which the data is gone from those too.

You remain responsible for keeping your own records for as long as HMRC requires — currently at least 5 years after the 31 January submission deadline for self-employment, and 6 years for VAT. Do not treat SubReady as your only copy: export regularly.

11. Acceptable use

Use SubReady lawfully and for your own records. You must not use it to record or facilitate anything fraudulent or illegal, upload other people’s data you have no right to hold, attempt to access another user’s account or our systems, probe or attack the service, scrape it, resell it, or copy it to build a competing product.

You must not misuse the WhatsApp channel — no bulk or automated messaging, and no sending content that is unlawful, abusive or that infringes someone else’s rights.

We may investigate suspected misuse and cooperate with law enforcement where we are legally required to.

12. Availability, support and changes to the service

We work hard to keep SubReady available, but we do not promise uninterrupted service. Maintenance, third-party outages (including HMRC, WhatsApp, banking providers and payment providers) and events outside our control can interrupt it. We give notice of planned maintenance where we reasonably can.

Support is provided in English by email and in-app during UK business hours. We aim to respond quickly but do not offer a contractual response time on these plans.

We improve the product continuously and may add, change or remove features. If we remove a feature you materially rely on, we will give you reasonable notice and you may cancel under section 6.

13. Suspension and termination

You may stop using SubReady and close your account at any time.

We may suspend or close your account if you materially breach these Terms, if your payments fail and remain unpaid, if we reasonably suspect fraud or misuse, or if we are required to by law. Where it is safe and lawful to do so we will warn you first and give you a chance to put it right.

If we close your account other than for your serious breach, we will refund any period you have paid for but cannot use, and you will have the retention window in section 10 to export your data.

If we ever decide to discontinue SubReady entirely, we will give you at least 90 days’ notice, refund any unused paid period, and keep export available throughout.

14. Liability

Nothing in these Terms excludes or limits liability that cannot be excluded by law — including for fraud, or for death or personal injury caused by negligence — or affects your statutory rights as a consumer.

Subject to that, our total liability to you arising out of or in connection with these Terms in any 12-month period is limited to the greater of the fees you paid us in that period and £100.

We are not liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill; nor for interest, penalties or surcharges imposed on you by HMRC or any other authority; nor for loss caused by inaccurate or incomplete information you gave us, by your failure to check figures before submitting them, or by your failure to keep your own copy of your records.

These limits are a fair reflection of a subscription costing under £13 a month. If you need a higher level of assurance, please talk to us before you rely on the service.

15. Changes to these Terms

We may update these Terms — for example when we add features, change providers, or the law changes. Every version is numbered and dated, and the current version is always at app.subready.co.uk/terms.

Material changes are versioned. You will be asked to read and accept the updated version in the app before continuing to use it, and we will tell you what has changed. If you do not want to accept a new version, you can cancel under section 6 and export your data.

Changes never apply retrospectively to anything that has already happened, and we will never use a change to these Terms to shorten a retention period you are already relying on without telling you first.

16. General

These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction — except that if you are a consumer, you keep the benefit of any mandatory protections of the country you live in.

You may not transfer your account or these Terms to someone else without our written consent. We may transfer them to a company that acquires the SubReady business, provided your rights under these Terms are not reduced.

If any part of these Terms is found unenforceable, the rest stays in force. A delay in enforcing a term is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between us about SubReady.

Creating a SubReady account requires reading and accepting these terms. You are asked to re-accept in the app whenever a new version takes effect. If your account was set up by your accountant under their Practice Plan, their separate Practice Plan Terms govern that arrangement.
